The $400,000 is a negotiated termination payment, payable when sufficient funds are available, under the termination agreement. The subsidiary can settle it in cash, parent-company shares or both. Receipt of the full payment would settle royalty and other payment obligations under the old licence; accrued payment claims remain outstanding until then. House of Doge said it had not determined when sufficient funds would be available.

Limited Brand Rights Remain

A replacement, non-exclusive licence preserves use of the Dogecoin and DOGE names and logos for three existing 21Shares products: the Dogecoin ETF, Dogecoin ETP and 2x Long Dogecoin ETF.

Additional regulated or tokenized investment products require written foundation approval. The licence grants no official-partner status and does not authorize use of the marks for payment products, general merchandise or the company’s corporate name. Its initial term runs through Oct. 19, 2029. Failure to make the termination payment can also put this replacement licence at risk after notice and a ten-business-day opportunity to cure.

Labs Asset Transfer Is Still Pending

Dogecoin Labs’ Oct. 21 launch announcement said the independent organization, led by CEO Jordan Jefferson, would bring together the MyDoge wallet, DogeOS application infrastructure and Such App, alongside development teams contributed by the foundation and House of Doge. The foundation would continue its stewardship, open-source development support and advocacy.

The asset-transfer contract specifies Such App software, source code, domains and related infrastructure in exchange for Labs common stock with an agreed value of $4 million, based on a $120 million fully diluted pre-money valuation. Labs does not assume House of Doge’s debts or partner and vendor contracts.

That transaction had not closed as of the Oct. 23 filing. Closing requires secured-lender consents and lien releases, transfer of key assets and the absence of an insolvency event. Subject to exceptions, either side can terminate if closing has not occurred within 30 days after Oct. 19.
